These Terms & Conditions ("Terms") govern your access to and use of the services provided by AI University, including but not limited to our website, the "Digital Humans" platform, and the "Nexus Games" software (collectively referred to as the "Services"). By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as all applicable local, state, national, and international laws, rules, and regulations. These Terms constitute a binding legal agreement between you ("User," "you," or "your") and AI University ("Company," "we," "us," or "our"). If you do not agree to these Terms in their entirety, you are not authorized to use the Services and must immediately cease all access and use.
The Services are intended for educational, informational, and entertainment purposes. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you or any third party.
By accessing or using the Services, you represent and warrant that: (a) you are at least 18 years of age, or, if you are under 18, you have obtained the express consent of a parent or legal guardian who has agreed to these Terms on your behalf; (b) you have the legal capacity to enter into this agreement; and (c) you will comply with these Terms and all applicable laws. If you are accepting these Terms on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind such entity to these Terms, and "you" and "your" will refer to that entity.
Your use of the Services is conditioned upon your acceptance of these Terms without modification. Any attempt to alter, supplement, or amend these Terms will be null and void unless agreed to in writing by an authorized representative of AI University.
AI University reserves the right, at its sole discretion, to modify, amend, or update these Terms at any time. Such changes may be made to reflect updates to the Services, legal or regulatory requirements, or for any other reason deemed necessary by us. We will notify you of material changes by posting the revised Terms on our website or through other reasonable communication methods, such as email to the address associated with your account. Changes will take effect immediately upon posting unless otherwise specified. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to regularly review these Terms for updates. If you do not agree to the revised Terms, you must discontinue use of the Services.
Certain features of the Services may require you to register for an account. When creating an account, you agree to: (a) provide accurate, current, and complete information as prompted by the registration process ("Registration Data"); (b) maintain and promptly update the Registration Data to keep it accurate, current, and complete; and (c) accept all risks associated with unauthorized access to your account due to your failure to safeguard your account credentials. You are solely responsible for maintaining the confidentiality of your username, password, and any other account-related information, as well as for all activities that occur under your account, whether authorized by you or not.
You must notify AI University immediately at admin@homines.digital if you suspect any unauthorized use of your account or any other breach of security. AI University will not be liable for any loss or damage arising from your failure to comply with these obligations. We reserve the right to suspend or terminate your account, or refuse any current or future use of the Services, at our discretion, particularly in cases of suspected misuse or violation of these Terms.
All content, software, materials, and other intellectual property made available through the Services—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software (collectively, "Content")—are the exclusive property of AI University or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Subject to your compliance with these Terms, AI University grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial use or legitimate internal business purposes, as applicable.
You may not: (a) copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as expressly permitted herein; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Services; (c) remove, alter, or obscure any copyright, trademark, or other proprietary rights notices; or (d) use the Content for any purpose not expressly authorized by these Terms. Any unauthorized use of the Content or Services may violate intellectual property laws and result in civil or criminal penalties. All rights not expressly granted herein are reserved by AI University and its licensors.
You agree to use the Services solely for lawful purposes and in a manner consistent with these Terms. You are prohibited from engaging in any activity that could harm, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services. Without limitation, you may not:
Violation of these restrictions may result in immediate suspension or termination of your account and access to the Services, as well as potential legal action. AI University reserves the right to investigate and take appropriate measures against anyone who, in our sole discretion, violates this section.
Your use of the Services is also subject to our Privacy Policy, accessible at privacy.html, which is incorporated into these Terms by reference. The Privacy Policy details how we collect, use, store, and protect your personal information. By using the Services, you consent to the data practices described therein. Please review the Privacy Policy carefully to understand your rights and obligations regarding your personal data.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. AI UNIVERSITY DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE CONTENT OR RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (C) THE SERVICES WILL BE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. AI University does not guarantee the availability of the Services and may suspend or discontinue them at any time without notice or liability. Some jurisdictions do not allow the exclusion of certain warranties, so the above disclaimers may not apply to you in full.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI UNIVERSITY, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL AI UNIVERSITY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO AI UNIVERSITY, IF ANY, FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the limitation or exclusion of liability, so the above may not apply to you in full.
You agree to indemnify, defend, and hold harmless AI University, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your infringement of any third-party rights, including intellectual property or privacy rights; or (d) any content or data you submit, post, or transmit through the Services. AI University reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defense.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Francisco, California, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection based on inconvenient forum or improper venue.
